Terms of Service

1. Acceptance of terms

By creating an account or using SideHustler.in (the "Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of a company or organisation, you represent that you have the authority to bind that entity. These terms form a legally binding agreement between you and SideHustler.in Technologies Pvt. Ltd. ("Company", "we", "us").

2. Eligibility

You must be at least 18 years of age to use the Platform. By creating an account, you represent that you are 18 or older and that all information you provide is accurate and complete. We reserve the right to terminate accounts if we discover this representation is false.

3. Seller obligations

As a seller, you agree to:

• Accuracy: Provide accurate, complete, and non-misleading information about your listing, including revenue, traffic, customers, technology, and known liabilities.
• Ownership: Only list projects you own or have full authority to sell. You must have clear title to all intellectual property, domain names, and assets described.
• Disclosure: Disclose all known material issues including pending legal disputes, outstanding debts related to the project, and any restrictions on transfer.
• Responsiveness: Respond to buyer inquiries within a reasonable timeframe.
• Exclusivity: Not actively market the same listing on competing platforms while an offer is under negotiation on SideHustler.in without disclosure.

Misrepresentation is grounds for immediate account suspension and may expose you to legal liability.

4. Buyer obligations

As a buyer, you agree to:

• Conduct your own due diligence before making or accepting any offer.
• Not use information received from sellers for any purpose other than evaluating a potential acquisition.
• Keep confidential any non-public information shared by sellers during due diligence.
• Make offers in good faith. Submitting frivolous offers to gain access to seller information is prohibited.
• Complete agreed transactions. Withdrawing from a signed agreement without cause may result in account suspension.

5. Platform fees

SideHustler.in charges a 5% success fee on the final agreed sale price when a deal closes through the Platform. This fee is payable by the seller. There are no listing fees, no monthly subscriptions, and no pay-to-play features.

The success fee applies when a buyer and seller connect through SideHustler.in and complete a transaction, regardless of whether the final payment is processed through our platform. Circumventing the fee by taking deals offline after connecting through SideHustler.in is a violation of these terms and may result in legal action.

6. Prohibited conduct

You may not use the Platform to:

• List fraudulent, fake, or non-existent projects
• Misrepresent financial metrics, user counts, or other material facts
• Post spam, unsolicited messages, or run scams
• Infringe intellectual property rights of others
• Circumvent Platform fees
• Harass, threaten, or abuse other users
• Violate any applicable Indian or international laws
• Attempt to gain unauthorised access to other accounts or our systems
• Use the Platform for money laundering or other financial crimes

Violations may result in immediate account suspension, forfeiture of any pending transactions, and referral to law enforcement where appropriate.

7. Intellectual property

Content you submit to the Platform (listing descriptions, images, metrics) remains your property. By submitting it, you grant us a non-exclusive, royalty-free licence to display it on the Platform and in our marketing materials. You represent that you have the right to grant this licence.

The SideHustler.in brand, logo, software, and platform design are owned by SideHustler.in Technologies Pvt. Ltd. and may not be copied, modified, or distributed without our written permission.

8. Disclaimers

SideHustler.in is a marketplace platform. We do not endorse, verify, or guarantee the accuracy of any listing. We are not a party to any transaction between buyers and sellers. All transactions are between the buyer and seller directly.

The Platform is provided "as is". We make no warranties about uptime, accuracy, or fitness for purpose. We are not responsible for losses arising from deals that go wrong, misrepresented listings, or platform downtime.

9. Limitation of liability

To the maximum extent permitted by Indian law, SideHustler.in Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from use of the Platform, including losses from failed transactions, misrepresented listings, or platform unavailability. Our total liability for any claim arising from these terms shall not exceed the fees we received from you in the 12 months preceding the claim.

10. Dispute resolution

Any dispute arising from these terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with arbitration conducted in Bengaluru, Karnataka. These terms are governed by the laws of India.

11. Changes to terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after changes constitutes acceptance. If you disagree with changes, you may close your account before they take effect.
